Subscription and License Agreement

Effective Date: Mar 1, 2025

This Subscription and End-User License Agreement (“Agreement”) is entered into by and between WynForm, a product of WYN ECOSYSTEM LTD (“Licensor”), and You (“End-User”), governing your use of the WynForm service and software application (“Licensed Application”).By subscribing, downloading, installing, or using the Licensed Application, You agree to be bound by the terms of this Agreement.

1. LICENSE GRANT & SCOPE

1.1 License Grant: Licensor grants You a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Licensed Application during the subscription period or under the terms of a one-time license purchase.

1.2 Scope of Use: You may use the Licensed Application on any devices you own or control, as permitted by applicable platform usage rules.

1.3 Restrictions: You may not:

  • Share, rent, lease, or sublicense the Licensed Application.
  • Reverse engineer, decompile, or attempt to extract the source code.
  • Modify or create derivative works of the Licensed Application.
  • Use the Licensed Application in any unlawful manner.

2. SUBSCRIPTION TERMS

2.1 Subscription Plans: WynForm offers a free plan with usage limitations and paid plans that unlock full access to the service. Subscription details, pricing, and benefits are available on the WynForm website.

2.2 Billing & Payment:

  • Subscriptions are billed on a recurring basis unless canceled.
  • Payment is processed through WynForm’s authorized payment processors.
  • Failure to pay may result in suspension or termination of access.

2.3 Cancellation & Refunds:

  • You may cancel your subscription at any time through your account settings.
  • Refunds are not provided except as required by law.

3. LICENSE PERIOD & RENEWALS

3.1 Subscription Period:

  • Monthly subscriptions renew automatically each month.
  • One-time license purchases include access to updates for a specified period (e.g., 12 months).

3.2 Renewals & Expiration:

  • If a subscription is not renewed, access will be downgraded to the free plan.
  • Renewing a one-time license may be required for continued updates and premium features.

4. TRIAL VERSION

WynForm may offer a trial version for evaluation purposes. Trial access is limited, and upon expiration, You must subscribe or purchase a license to continue using the Licensed Application.

5. MAINTENANCE & SUPPORT

5.1 The Licensor is responsible for maintaining and supporting the Licensed Application. Support inquiries should be directed to WynForm’s support team.

6. DATA COLLECTION & PRIVACY

6.1 By using the Licensed Application, You acknowledge and agree to WynForm’s Privacy Policy.

6.2 WynForm may collect anonymized usage data to improve its services. Personal data handling is governed by applicable privacy laws.

7. TERMINATION

7.1 This Agreement is effective until terminated. Your rights under this Agreement will terminate immediately if You violate its terms.

7.2 Upon termination, You must cease all use of the Licensed Application and delete any copies in your possession.

8. LIABILITY & WARRANTY DISCLAIMERS

8.1 The Licensed Application is provided "as is" without warranties of any kind, express or implied.

8.2 WynForm shall not be liable for indirect, incidental, or consequential damages arising from the use of the Licensed Application.

9. INTELLECTUAL PROPERTY

9.1 All intellectual property rights in the Licensed Application are owned by WynForm or its licensors. You are granted no rights other than those expressly stated in this Agreement.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Vietnam, excluding its conflict of law provisions.
